3. Contracting Entity
Unless otherwise expressly agreed in writing:
- Red Sky Digital LLC is the sole contracting entity.
- Red Sky Digital LLC is the supplier of all products and services offered through this website.
- All quotations, invoices, order confirmations and customer agreements are issued by or on behalf of Red Sky Digital LLC.
- A binding contract is formed only when your order has been accepted by Red Sky Digital LLC.
4. Treasury and Collection Services
Red Sky Digital Holdings Pty Ltd acts solely as the authorised Australian treasury, collection and payment administration provider for Red Sky Digital LLC.
Its authorised functions include:
- Receiving customer payments.
- Administering payment collections.
- Processing approved refunds.
- Processing approved contractor and supplier payments.
- Providing treasury and payment administration services.
These functions are performed solely on behalf of Red Sky Digital LLC under an intercompany treasury and collection services arrangement.
5. Orders
All orders are subject to acceptance by Red Sky Digital LLC.
Red Sky Digital LLC reserves the right to refuse, suspend or cancel any order at its discretion.
Additional verification may be requested before an order is accepted.
6. Pricing
All prices are subject to change without notice.
While every effort is made to ensure pricing accuracy, Red Sky Digital LLC reserves the right to correct pricing errors before accepting an order.
7. Payments
Payments may be made using approved payment methods including credit card, debit card, Stripe, bank transfer or other approved payment providers.
Payments may be collected through Australian banking and payment facilities operated by Red Sky Digital Holdings Pty Ltd on behalf of Red Sky Digital LLC.
Receipt of payment by Red Sky Digital Holdings Pty Ltd constitutes receipt of payment by Red Sky Digital LLC and fully satisfies the customer’s payment obligation.
8. Invoices
Invoices are issued by Red Sky Digital LLC.
Where invoices include Australian banking details or identify Red Sky Digital Holdings Pty Ltd for payment purposes, those details are provided solely for treasury and collection services and do not alter the identity of Red Sky Digital LLC as the contracting entity or supplier.
9. Production and Fulfilment
Products and services may be manufactured, produced or supplied through approved third-party manufacturers, contractors or suppliers engaged by Red Sky Digital LLC.
These parties perform services on behalf of Red Sky Digital LLC and do not become contracting parties with the customer.
10. Communications
Communications may originate from domains including expobanners.com.au and associated email addresses.
These domains are used for branding, customer support and operational convenience only and do not alter the identity of the contracting entity or supplier.
11. Delivery
Delivery timeframes are estimates only unless expressly agreed in writing.
Risk in goods passes to the customer upon dispatch unless otherwise required by applicable law.
12. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any rights that cannot legally be excluded under the Australian Consumer Law.
Where applicable, customers are entitled to statutory guarantees, including repair, replacement, refund or compensation in accordance with Australian law.
Where permitted by law, liability is limited to:
- Repair;
- Replacement;
- Resupply; or
- Reimbursement of the reasonable cost of replacement or resupply.
13. Limitation of Liability
To the maximum extent permitted by law:
- Liability is limited to the amount paid for the relevant order.
- Neither Red Sky Digital LLC nor Red Sky Digital Holdings Pty Ltd shall be liable for indirect, consequential, incidental or special loss arising from the use of this website or the supply of products and services.

15. Consistency of Customer Documentation
Quotations, invoices, payment instructions, customer communications and website content are intended to operate consistently.
The use of Australian contact details, banking facilities or payment services does not alter the identity of Red Sky Digital LLC as the contracting entity or supplier.
16. Corporate Structure
Customers acknowledge that:
- Red Sky Digital LLC is the sole contracting entity and supplier of all products and services.
- Red Sky Digital Holdings Pty Ltd acts solely as the authorised Australian treasury, collection and payment administration provider for Red Sky Digital LLC.
- Payment made to Red Sky Digital Holdings Pty Ltd constitutes payment to Red Sky Digital LLC.
- The use of Australian banking or payment facilities does not create a separate contractual relationship between the customer and Red Sky Digital Holdings Pty Ltd.
17. Corporate Governance
Red Sky Digital LLC and Red Sky Digital Holdings Pty Ltd maintain documented intercompany governance arrangements governing treasury, collection and payment administration activities.
These governance arrangements support the efficient administration of customer payments and group operations and do not alter the identity of Red Sky Digital LLC as the sole contracting entity and supplier.
